Website Confidentiality Agreement

By proceeding, you (the "User") are agreeing to the Confidentiality Agreement (the "Agreement") set forth below.

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include any and all information disclosed by Website Owner to User, either directly or indirectly, through the use of the Website, including but not limited to, proprietary algorithms, user data, business plans, marketing strategies, and any other information deemed confidential by Website Owner.

2. Non-Disclosure

User agrees not to disclose, disseminate, or reveal to any third party, or use for User's own benefit or the benefit of any third party, any Confidential Information obtained through the use of the Website without the prior written consent of Website Owner. User shall take all reasonable precautions to protect the confidentiality of the Confidential Information and shall exercise at least the same degree of care in safeguarding the Confidential Information as it uses with its own confidential information of a similar nature.

3. Exceptions

User's obligations under this Agreement shall not apply to any Confidential Information that: (a) is or becomes publicly known through no fault of User; (b) is rightfully received by User from a third party without a duty of confidentiality; (c) is independently developed by User without reference to the Confidential Information; or (d) is required to be disclosed by law or court order, provided that User provides Website Owner with prompt notice of such requirement and cooperates with Website Owner in seeking a protective order or other appropriate remedy.

4. Data Security

User acknowledges that the Website may collect and store personal data and other information provided by users. User agrees to comply with all applicable data protection laws and regulations, including but not limited to, the General Data Protection Regulation (GDPR), and to implement appropriate security measures to protect the confidentiality and integrity of such data.

5. Term and Termination

This Agreement shall remain in effect for as long as User has access to the Confidential Information through the use of the Website, unless terminated earlier by either party upon written notice. Notwithstanding termination of this Agreement, the obligations of confidentiality shall survive for a period of [insert duration] after termination.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The United States of America, without regard to its conflicts of laws principles.
